1. Eligibility. The Essentia Nation Rewards Take Your Shot Promotion (the “Promotion”) is open only to legal residents of the 50 United States and District of Columbia who are 21 years or older and are an Essentia Nation Rewards Program member (each, an “Entrant”). Employees of Nestlé USA Inc. (“Sponsor”), Brandmovers, Inc. (“Administrator”), and/or any of their respective affiliates, subsidiaries, advertising agencies, or any other company or individual involved with the design, production, execution, or distribution of the Promotion (collectively with Sponsor, the “Promotion Entities”) and their immediate family (spouse, parents and step-parents, siblings and step-siblings, and children and step-children and their respective spouses, regardless of where they reside) and household members of each such employee, whether or not related, are not eligible to enter or win. The Promotion is subject to all applicable federal, state, and local laws and regulations. Participation constitutes Entrant’s full and unconditional agreement to these Official Rules and Sponsor’s and Administrator’s decisions, which are final and binding in all matters related to the Promotion. Winning a prize is contingent upon fulfilling all requirements set forth herein.To be eligible to participate, each Entrant must be a registered member of the Essentia Nation Rewards loyalty program. Entrants who are not yet members may register for free by visiting www.essentianationrewards.com/register and completing the registration form. Entrants are required to first agree to these Official Rules prior to participating in the Promotion.
2. Promotion Period. The Promotion begins on May 12, 2026, at 12:00:01 AM Eastern Time (“ET”) and ends on June 9, 2026, at 11:59:59 PM ET (the “Promotion Period”).
3. Promotion Overview. The Promotion consists of an instant win game (the “Game”) portion and a sweepstakes (the “Sweepstakes”) portion. Entrants must play the Game for a chance to win an Instant Win prize and to earn an entry into the Sweepstakes portion automatically upon making a Play in the Game. The only way to enter the Sweepstakes portion of the Promotion is to Play the Game.
4. How to Play/Enter. During the Promotion Period, randomly selected times will be assigned to the various Instant Win prizes (see Rule 6 for list of prizes) available to be given away in this Promotion (each, a “Winning Time”), and the first Entrant who completes a Play, and whose Play is properly received and recorded by Sponsor’s computer at or after a randomly selected Winning Time will win the indicated Instant Win prize, subject to verification. Limit one (1) Game Play/Sweepstakes entry per person per calendar day.How to play the Game: To participate and play the Game, visit www.essentianationrewards.com (the “Website”) to find the Game where Entrants can click on the “Spin the Wheel” button to spin the wheel to reveal if they are an Instant Win prize winner (each, a “Play”). If the message on the screen immediately following a Play reveals a “NICE SHOT” message and winning prize description, you are a potential Instant Win Prize winner of the prize revealed on-screen, subject to verification. If the message on the screen does not reveal a winning message, you are not a winner of an Instant Win Prize for that Play.Each Instant Win Prize winner must click the “Secure My Prize” button on-screen and enter their mailing address to receive the Instant Win Prize (excluding electric scooter or rewards prize winners—see below). Each Instant Win Prize winner will also receive an email notification. Winners (except an electric scooter winner or rewards prize winner) will have 24 hours to correct any inaccurate address appearing in their winner notification email. If no correction is made or is necessary, the physical Instant Win Prize will be automatically shipped to the winner (except the electric scooter winner, who must comply with the requirements below). Allow 6–8 weeks for automatic mailing of any Instant Win Prize.For instant winner of an electric scooter: The winner will receive an email notification that includes a liability and publicity release (where legal) (“Liability Release”), along with the address the electric scooter will be mailed to. The winner must complete, sign, and submit the Liability Release as instructed in the email, and correct any necessary inaccurate address if needed, within 48 hours of the email being sent, or the winner may forfeit the prize and the electric scooter will go back into the Game and may be re-awarded, time permitting.For instant winner of 100 Essentia Nation Rewards points: Each Instant Win Prize winner who wins 100 Essentia Nation Rewards points will receive the points automatically upon clicking the “Close” button on-screen. The winner will also receive an email confirming the 100 points were credited to their Essentia Nation Rewards account.How to enter the Sweepstakes: Upon submitting a Play (regardless of being an Instant Win Prize winner), you will automatically receive one (1) entry into the Sweepstakes random drawing. Limit one (1) Game Play/Sweepstakes Entry per person per calendar day. Neither Sponsor nor Administrator is responsible for stolen, lost, late, damaged, or misdirected mailing of any prize. Neither Sponsor nor Administrator is responsible for emails that go into SPAM or Junk folders, are unanswered within 24 hours, are undeliverable, or for technical glitches interfering with email messages being sent or received.In the event of a dispute regarding who submitted a Play, the Play/entry will be deemed submitted by the authorized account holder of the email address at the time of entry. “Authorized account holder” is defined as the natural person who is assigned to an email address by an Internet access provider, online service provider, or other organization responsible for assigning email addresses for the domain associated with the submitted email address. No automatically generated entries will be accepted.
5. Sweepstakes Random Drawing. On or about June 10, 2026, Administrator will select one (1) potential Grand Prize winner via a random drawing from among all eligible entries received during the Promotion Period. Odds of being selected depend on the number of eligible entries received. Sponsor will notify the potential winner via email to the address associated with the potential winner’s Essentia Nation Rewards account (“Grand Prize Notification”). The potential winner must respond within 48 hours of the notification being sent or will forfeit the Grand Prize and an alternate winner may be selected, time permitting, at Sponsor’s sole discretion. Administrator may select up to three (3) alternate winners. If the initial winner and alternates cannot be verified, the Grand Prize will not be awarded.Upon receipt of the potential winner’s response, Sponsor or Administrator will email an affidavit of eligibility, liability and publicity release (where legal), and a W-9 tax form (collectively, “Prize Release Documents”). The winner must complete, sign, and submit the Prize Release Documents within 48 hours of the documents being sent or may forfeit the Grand Prize and an alternate may be selected, time permitting, at Sponsor’s sole discretion. Neither Sponsor nor Administrator is responsible for emails that go into SPAM or Junk folders, are unanswered within 48 hours, are undeliverable, or for technical glitches interfering with email messages being sent or received.
6. Prizes, Approximate Retail Values, and Odds. 122 Instant Win Prizes: There will be a total of one hundred twenty-two (122) Instant Win Prizes available to be won in the Game portion of the Promotion, as follows: ten (10) Essentia bucket hats, ARV: $20.00 each; two (2) Sponsor-specified electric scooters, ARV: $500.00 each; ten (10) Essentia sweat towels, ARV: $15.00 each; and one hundred (100) awards of 100 Essentia Nation Rewards Points. Total ARV of all Instant Win Prizes is $1,350.00; there is no fixed retail value associated with Essentia Nation Rewards Points—see the rewards website or catalog for details. Odds of winning depend on the time of day the Game is played relative to the pre-determined Winning Times and the number of prizes remaining.All warranties and guarantees are subject to manufacturers’ warranties and guarantees. Prizes are subject to availability, non-transferable, non-negotiable, non-refundable, and no substitution will be made except as provided herein at Sponsor’s sole discretion. Sponsor reserves the right to substitute a prize of equal or greater value for any reason. All taxes and reporting consequences associated with acceptance and use of a prize are solely the responsibility of each winner. Sponsor disclaims any and all warranties, express or implied, concerning any prize furnished in connection with the Game portion of the Promotion. Actual prizes awarded may vary from prize images depicted in Promotion materials.One (1) Sweepstakes Grand Prize: A two-night trip for two (2) people to Los Angeles, CA from July 9, 2026 through July 11, 2026. Trip includes round-trip coach airfare for the Grand Prize winner and one (1) guest from a Sponsor-approved major airport nearest winner’s residence to Los Angeles, departing July 9, 2026 and returning July 11, 2026; two (2) nights hotel accommodations at a Sponsor-specified hotel (one standard room/double occupancy) in or near Beverly Hills, CA (check-in July 9, check-out July 11); two (2) tickets for cabana access at an Essentia-sponsored Soccer Hotel Pool Watch Party at the Maybourne Beverly Hills Hotel (includes food and beverages for winner and guest) on July 10, 2026; and a travel stipend of $500.00 awarded as a check to the Grand Prize winner. ARV: up to $6,000.00.Travel requirements and conditions: Grand Prize winner and guest must depart July 9, 2026 and return July 11, 2026 (or other dates specified by Sponsor if changed) or the winner will forfeit the Grand Prize, which may be awarded to an alternate, time permitting, at Sponsor’s sole discretion. All other expenses (including entertainment, meals/beverages, spa treatments, souvenirs, gratuities, incidental charges, and all federal, state, and local taxes) are the winner’s sole responsibility. Travel dates are final and will not be extended. Grand Prize is non-transferable, not substitutable, and cannot be exchanged for cash except Sponsor may substitute equal or greater value at its sole discretion.Winner and guest must travel together on the same itinerary unless otherwise approved by Sponsor; Sponsor is not responsible for guest transportation in such instances. Guest must be at least 21 years of age and must sign a liability and publicity release (where legal). Winner must have a valid credit card to check into the hotel for incidentals. If the winner and/or guest miss the initial departure or are not present for the return flight, the winner forfeits the prize and is responsible for return travel. Sponsor is not responsible for flight delays or cancellations; delays/cancellations may require forfeiture. If winner resides within 300 miles of Beverly Hills, CA, Sponsor may provide ground transportation in lieu of airfare and any difference between actual value and stated ARV will not be awarded.Total ARV of all prizes (Instant Win Prizes and Grand Prize): $7,350.00. ALL POTENTIAL WINNERS ARE SUBJECT TO VERIFICATION BY ADMINISTRATOR, AND SPONSOR’S DECISIONS ARE FINAL AND BINDING IN ALL MATTERS RELATED TO THE PROMOTION.
7. Entry Conditions and Release. By entering, each Entrant agrees to release, indemnify, defend, and hold harmless the Promotion Entities from and against any and all claims, expenses, and liability, including but not limited to negligence and damages of any kind to persons and property, including invasion of privacy (under appropriation, intrusion, public disclosure of private facts, false light in the public eye, or other legal theory), defamation, slander, libel, violation of right of publicity, infringement of trademark, copyright or other intellectual property rights, property damage, death, or personal injury arising out of or relating to an Entrant’s participation, acceptance or use or misuse of any prize (including travel or activity-related thereto), and/or the broadcast, exploitation, or use of any entry.
8. General Conditions. Sponsor reserves the right to cancel, suspend, and/or modify the Promotion, or any part of it, for any reason whatsoever, including fire, flood, natural or man-made epidemic or other public health crisis, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared), or any federal, state, or local government law, order, or regulation, order of any court or jurisdiction, or if fraud, technical failures, or any other factor beyond Sponsor’s reasonable control impairs the integrity or proper functioning of the Promotion, as determined by Sponsor in its sole discretion. If terminated before the designated end date, Sponsor will (if possible) award any remaining prizes in a random drawing from all eligible, non-suspect entries received as of the termination date or as otherwise deemed fair and appropriate by Sponsor. Inclusion in such a drawing shall be each Entrant’s sole and exclusive remedy. Sponsor may forfeit or award any unclaimed or leftover prize at its sole discretion.Sponsor may disqualify any individual found to be tampering with the entry process or the operation of the Promotion, acting in violation of these Official Rules, or acting in an unsportsmanlike or disruptive manner, and may void all associated entries, Plays, and/or prize claims. Any attempt to deliberately undermine the legitimate operation of the Promotion may be a violation of criminal and civil law; Sponsor may seek damages to the fullest extent permitted by law. Only the type and quantity of prizes described in these Official Rules will be awarded. The invalidity or unenforceability of any provision will not affect the validity or enforceability of any other provision. Sponsor’s failure to enforce any term shall not constitute a waiver of that provision.
9. Limitations of Liability. The Promotion Entities are not responsible for: (1) late, lost, jumbled, garbled, misdirected, delayed, incomplete, incorrect, or inaccurate entries, Plays, prize claims, email, mail, or other communications of any kind, whether caused by equipment or programming associated with or utilized in the Promotion or by any human error; (2) incorrect or inaccurate information, whether caused by Entrants, printing errors, or equipment/programming associated with or utilized in the Promotion; (3) technical failures of any kind, including malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (4) unauthorized human intervention in any part of the entry process or the Promotion; (5) technical, network, mechanical, typographical, human, or other error or problem that may occur in connection with the Promotion, including errors/problems in the administration or processing of entries, Plays, prize claims, or announcement of prizes; or (6) any injury or damage to persons or property caused directly or indirectly by participation or receipt/use/misuse of any prize (including travel or activity-related thereto). If an entry or Play is erroneously deleted, lost, destroyed, or corrupted, Entrant’s sole remedy is another entry or Play, provided the Promotion has not been terminated.If due to a computer programming or other error, more Entrants are notified and/or Instant Win Prizes are claimed than intended under Rule 6, Instant Win Prizes will be awarded in a random drawing from among all valid prize claims received. Inclusion in such a drawing shall be Entrant’s sole and exclusive remedy. Any required drawing will be conducted by the Administrator, independent from Sponsor, whose decisions are final. Sponsor will not be liable to award more than the stated number of Instant Win prizes. All potentially winning Plays are subject to verification at Sponsor’s sole discretion.
10. Disputes/Governing Law. Entrant agrees that: (i) any and all disputes, claims, and causes of action arising out of or connected with this Promotion, other than those concerning administration or determination of winners or disputes arising from loss or injury from participation in a prize, shall be resolved individually without resort to any form of class action; (ii) disputes arising out of these Official Rules (except disputes arising from loss or injury from use of prizes) shall be submitted to final, binding arbitration conducted in the State of Virginia under the Arbitration Rules and Procedures of Judicial Arbitration and Mediation Services Inc. before a single neutral arbitrator who is a former or retired Virginia state or federal court judge with entertainment experience; the arbitrator shall follow Virginia law and the Federal Rules of Evidence and has no authority to award punitive damages. Either party may enforce the final arbitration award in any court of competent jurisdiction in Virginia, including costs, fees, and expenses incurred in enforcing the award. Released Parties may seek injunctive relief in state and federal courts in Virginia where permitted. Any claim that may not be arbitrated may be heard only in a court of competent jurisdiction in Virginia; (iii) all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Promotion, but in no event attorneys’ fees; and (iv) Entrant waives all rights to claim punitive, incidental, or consequential damages, and any other damages other than actual out-of-pocket expenses, and any rights to have damages multiplied or increased. Some jurisdictions do not allow limitations or exclusion of liability for incidental or consequential damages, so the above may not apply. All issues and questions concerning construction, validity, interpretation, and enforceability of these Official Rules, or the rights and obligations of Entrant and Sponsor, shall be governed by the laws of the State of Virginia, without giving effect to any choice-of-law or conflict-of-law rules that would cause application of the laws of any other jurisdiction.
11. Data Collection. Information collected from Entrants in connection with the Promotion shall be used in accordance with Sponsor’s privacy policy, available at https://www.nestleusa.com/privacy.
